The business supplies an emulsion filling system under its own brand, with construction being project-based and on-site assembly mostly outsourced to third parties.
Extraction and belt filtering systems, mixing equipment and precision riveting technology.
Metalworking fluids, cooling lubricants, cleaning agents, emulsions and slate oils, cutting and tap oils, hydraulic oils, anti-rust sprays, ceramic assembly and thread paste.

The DGA is of retirement age and there is no internal succession. The business is ready for the next phase in terms of growth and management. Given its niche position, the business has been very innovative and decisive in the development of the market.

Procedure

In the proposed transaction, we assume an enterprise value bid (cash & debt free) as of January 1, 2023 in combination with the locked-box mechanism, with further agreements on profit sharing before 2023.
An earn-out construction and/or (subordinated) loan is not preferred.
Seller is available for transfer for a period and fee to be agreed upon.
The buying party must have sufficient financial resources to finance the acquisition.
Starting point for exchanging information is a signed non-disclosure agreement. Then the advising party investigates the intentions and possibly the financial possibilities of the potential interested parties. Also, these interested parties can get in touch with the selling party through an introductory interview and visit to the company.
If there is continued interest from both the selling and buying parties, an active buying and selling process is initiated. In the subsequent phase, candidates are asked to make indicative bids, after which the advising party negotiates with the most appealing candidates on the basis of the bids received. Once it appears that a takeover candidate has the intention and ability to take over the business on terms acceptable to the seller, a letter of intent is drawn up with this party. Following this, the potential buyer can perform due diligence, after which the purchase agreement and deed of transfer will be drawn up.
