Match Plan accompanies sale of Coachview to Paragin Group

Match Plan has assisted the shareholders of InnoPhase B.V.(Coachview) with the sale of the shares to Paragin Group, which is backed by strategic software investor Main Capital Partners. The addition of Coachview to Paragin Group creates a comprehensive product suite with strong combined expertise, technology leadership and a shared customer base.

About Coachview

Coachview was founded in 2000 and is a developer of a SaaS course administration solution that are the heart of administration for educators. The solutions are deployed by schools and training and examination institutions at all levels of education in the Netherlands and Belgium. The Coachview platform gives users control over their administrative processes, enabling them to serve their customers more effectively while providing flexibility and insights and improving overall efficiency.

About Paragin

Paragin Group offers its services from two labels, Paragin and SOWISO. Paragin specializes in student-centric testing, learning and development solutions and offers innovative tools that support students in their educational pathways. In 2021, Paragin has partnered with investor Main Capital Partners to achieve further growth ambitions together. In 2022, the first step of the buy-and-build strategy was taken with the acquisition of SOWISO. SOWISO is a supplier of an online testing environment for science subjects.

The acquisition of Coachview represents Paragin Group's second add-on acquisition. The combination of Coachview and Paragin Group represents another strategic step in the EdTech Group's buy-and-build strategy. Together, the businesses position themselves as the most complete provider for commercial training institutions, supporting "lifelong learners" every step of the way.

Role of Match Plan

Match Plan has advised the shareholders of Coachview from the moment they received the concrete interest from Paragin. From then on we assisted in:

  • Assessing and negotiating the offer and letter of intent.
  • Coordination and positive completion of the book examination
  • Reviewing and negotiating all transaction documentation towards the closing
