Issue:

In the summer of 2016, we were approached by the potential buyer of this company with the following specific questions: requested guidance in the negotiations and purchase of the company and the financing application.

Action and Result:

After drawing up a good buyer profile, we selected Joppen Metaaltechniek BV as a possible acquisition candidate. Under our direction, we conducted the negotiations to arrive at an acquisition price. For this, we valued the business to be purchased. The MBI candidate then drew up a business plan which was submitted to three banks and a follow-up step was taken with one of these banks.

Once the financing was agreed, the purchase contract was drawn up. A number of verbal agreements were somewhat stubborn to record, but in the end we succeeded. While finalizing the contracts, an unexpected announcement came from the seller which affected the value of the business. Therefore it was decided by mutual agreement to postpone the acquisition. My client became an employee of this business for a period of up to 1 year.

This allowed him to manage this unexpected situation himself. This led to the final acquisition where my customer got a good look into the business and together with one of the sons of the previous owner took over the business.
