DHW Corporate Finance has assisted Boekhandel Binnert Overdiep in an acquisition process

DHW Corporate Finance has assisted Eduard and Ingrid Kuijt of Boekhandel Binnert Overdiep of Heerenveen and Janine Waiboer, in a takeover process of Boekhandel Thomas, located in Bergen (NH).

The company

Eduard and Ingrid have been running a bookstore under the name Binnert Overdiep since 2006, a full service Libris assortment bookstore located in the center of Heerenveen since 1889.

Together with Janine, they acquired Boekhandel Thomas, also a Libris bookstore for almost a century located in Bergen, North Holland. This bookstore is an accessible, general bookstore with a wide assortment consisting of books, stationery, greeting cards, magazines and gift items.

The transaction

DHW Corporate Finance Finance has assisted the buyers in the entire share purchase process. Together a plan was worked out how to combine and continue the activities of both stores. Simultaneously, a process was started to convert Binnert Overdiep from a VOF to a BV structure. Ultimately, an overall vision of the envisioned new situation was presented to the bank in order to secure the desired acquisition financing. The acquisition process further consisted of carrying out a value assessment of the activities to be taken over in order to arrive at an appropriate offer, supervising the negotiations and contract work, and carrying out an abridged due diligence investigation.
