The transaction
The company has grown significantly in recent years and the owner of the company wanted to bind a number of employees to the business and to benefit from future growth opportunities. To this end, a participation plan was drawn up in consultation with DHW Corporate Finance, on the basis of which the preconditions were determined for future participation in the business. In consultation with the DGA and the intended entrants, forecasts and valuation models were then set up to identify the potential for the future. In consultation with De Hooge Waerder's lawyers, the mutual agreements were further developed into a purchase agreement and a shareholders' agreement.
