DHW Corporate Finance Finance has assisted Mark Vermin and Ferry Maarssen in the for them exciting and challenging MBO trajectory in which they together took over Koppel & Go from their former employer.

The Company
Koppel & Go B.V. is the wholesaler for the Garden, Street and Infra sector, not to mention an important player for Contractors and Electricians. It is located in Winkel in the province of North Holland. The company started in 2001 and is now a household name in the industry; it changed hands in the year of its 20th anniversary. Koppel & Go distinguishes itself as a wholesaler with its solutions in Drilling and Sawing techniques and a selective range of quality products. Koppel & Go can also be proud of its high level of service and because of this they are the perfect partner for many businesses throughout the Netherlands and sometimes even beyond. Including the two owners, the company employs 7 people.

The transaction
Both Mark and Ferry had been working for the company as salaried employees for many years. Together they were mainly involved in sales, but over time they have taken on more and more tasks, so that they have become familiar with all aspects of the company. When the founders offered them the opportunity to take over and continue the business, they did not have to think twice.

DHW Corporate Finance Finance has assisted Mark and Ferry in the purchase process regarding the negotiations with the sellers, the due diligence, setting up the new corporate structure and obtaining the necessary acquisition financing. In cooperation with the lawyers of DHW the various contracts were drawn up and negotiated, resulting in a successful acquisition process. Following the acquisition process, DHW also provides accountancy services and payroll administration for these young ambitious entrepreneurs.
