DHW Corporate Finance assists Bluedesk with a share transfer

DHW Corporate Finance Finance has assisted Barry Tempelaar and Arjan Groen of e-commerce agency Bluedesk E-Business B.V. of Alkmaar in a share transfer process, with Barry taking over Arjan's shares in the business.

The company

Bluedesk E-Business provides Product Information Management (PIM), E-Commerce and Online Marketing solutions that contribute to the online success of a company. The company exists since 1995, is based in Alkmaar and the team of employees now consists of more than 30 enthusiastic employees.

The transaction

After being active in the management team of Bluedesk for many years, it was time for Arjan to transfer his shares to new management. Barry, who first joined as a shareholder in 2019, then took over Arjan's remaining shareholding in this round.

DHW Corporate Finance Finance has assisted those involved in the sale process of the shares. First a plan was made how to shape the trajectory over the desired period and which steps should be taken to that end. Then various valuation models were drawn up on the basis of which discussions were held to arrive at the desired transaction. A financing application was then developed and submitted to various banks, and finally the financing was arranged in cooperation with the company's banker. DHW Juristen took care of the relevant transaction documentation for each part, such as the purchase agreement and the shareholders' agreement.
