Baker Tilly performs due diligence on acquisition DELOS

Description

The Baker Tilly Corporate Finance team assisted Delos Construction Group in the financial and fiscal due diligence process for the acquisition of Aluvo and Construction Group. With this acquisition, Delos further expands its construction activities with the offering of aluminum window frames, doors and facade systems and timber frame production.

Owner Adriaan Visser bought Delos Construction Group in 2017. The corona crisis subsequently worsened the financial results in 2020. Nevertheless, the entrepreneur managed to return the construction group to growth in recent years. This was partly due to the divestment of several business units, the sale of real estate and the bankruptcy of a major business unit. In order for Delos to grow further and develop construction activities more broadly, Aluvo and Bouwgroep caught the eye. The result was a successful acquisition in 2022.

Timber frame and aluminum systems

Bouwgroep consists mainly of the companies Rens Bouw and Vechtdal Bouw, both specializing in the production of timber frame construction. This is produced in Poland and assembled in the Netherlands. With the acquisition of Bouwgroep, Delos is further developing in the field of sustainable timber frame construction and expansion into the Polish market is possible.

Aluvo consists of two entities, one in Nieuwleusen and one in Apeldoorn. Together, they have specialized in the production, sales, engineering and assembly of aluminum window frames, doors and façade systems since their establishment in 1972. Aluvo's aluminum systems are used in both new construction and renovation projects throughout the Netherlands. With the acquisition of Aluvo, Delos is strengthening its position in the residential and commercial construction sector.

On behalf of Delos Bouwgroep, Baker Tilly's Corporate Finance team carried out the financial and fiscal due diligence work under the direction of Pierre Satink and Tommy Haans. Based on the due diligence carried out, Baker Tilly created a comprehensive overview and critical perspective for Delos, which well reflected the risks in the short and long term.
