Adagium - Megaflex

Adagium brought the parties Megaflex Bladel and Optimum Group together and guided the entire process.

Megaflex has been a specialist producer of self-adhesive labels for over 25 years. As a family business, Jan (father) and Bart (son) van Limpt pull the cart within the company.

The subject of business succession was regularly discussed at the kitchen table of the Van Limpt family. After the conclusion that there were no candidates within the family to take over the company, and father Jan is reaching retirement age, the path of sale to an external party was chosen.

Adagium guided the owners of Megaflex through the acquisition process from A to Z. From an initial analysis came tips to make the company more "saleable". A business valuation then provided further insight into the company's value drivers and the ultimate value of the company.

With the value in mind and extensive discussions about possible potential buyers ("who would be interested, what do we but also they add, is there a similar culture"), a number of parties were actively and directly approached. After that, 3 parties were discussed in more detail and these parties also made offers. Optimum Group ultimately emerged as the best candidate, not only in terms of purchase price but certainly also in terms of "fit" with Megaflex. Optimum Group focuses with this acquisition on product expansion and scale-up, they want to achieve further growth with Megaflex."

Adagium 's further guidance consisted of supervising the Letter of Intent, the due diligence and (negotiating) the sales documentation.

The feedback we received from our client was that they experienced it as an intensive and exciting process in which they felt that Adagium 's expertise as a professional party in business acquisitions was necessary. They also liked the short lines of communication, the speed of the process and the way we communicated.

The outcome is that the future of Megaflex has been properly secured. Both Bart and Jan remained employed within the company, at least for an agreed period.
